Dentsply Buys Sultan Healthcare

NEW YORK, June 21 (Reuters) – Dentsply International Inc. (XRAY.O: Quote, Profile , Research), a maker of prosthetics, ceramics, alloys and other products used in the dental market, said on Thursday it has agreed to acquire the assets of rival Sultan Healthcare, Inc.

The deal is expected to add about $45 million to $50 million on an annualized basis to Dentsply’s sales. Terms of the deal were not disclosed.

The transaction is also expected to be neutral to earnings per share in 2007 and slightly accretive to earnings per share in 2008, Dentsply said in a statement.

New Jersey-based Sultan Healthcare makes dental products such as dental materials and preventive products.

The transaction, which is subject to antitrust review in the United States, is expected to close in early July.

    I know that Sultan had been making a big investment in growing its buiness in the hygiene community, and my friends in publishing were thrilled to have Sultan’s business. So, I was under the impression that Sultan was stealing market share from Young.

    Can anybody confirm my suspicion? Some people are very fond of Young, but I was happy to see Sultan promoting their their new prophy angles and Lysol products aginst Young’s angles and Biotrol stuff.

    Wondering if Dentsply plans on keeping these products available to all dealers or put them on the short list with all other Dentsply products. Any guesses?

    From what I have heard, everything will be status quo until the end of the year, then the Sultan products will only be available to the existing 28 (oops) 27 remaining Dentsply dealers. I aggree with a previous post that Dentsply is going to eliminate any product that competes with an existing Dentsply brand. This was nothing more than buying up their competitor to eliminate the competition. $45-50 million in additional sales….yea right. The company that has the potential to win big here is Youngs/Denticator/Biotrol.

    DENTSPLY International Inc.: Healthcare Enterprise Group PLC (HCEG) announced that the contract between its wholly owned subsidiary Ebiox Limited and Sultan Healthcare Inc. will transfer to Dentsply International Inc., along with the purchase obligations, following completion of the purchase of Sultan by Dentsply. The contract is for the for the exclusive distribution of Ebiox product to the dental market in UK, continental Europe, Latin America, South America, Asia and Africa. The agreement is for an initial term of five years and requires a minimum purchase of $4.5 million (£2.33 million) of Ebiox products over that time. The acquisition of Sultan by Dentsply which is expected to close in July 2007.

    “Ebiox – Patented decontamination and disinfectant products that are safe and alcohol free but substantially more effective than conventional methods at destroying embedded microorganisms. The Ebiox range includes hand hygiene products, surface disinfectants and products to clean and decontaminate surgical instruments.”

    They have just received US EPA approval for their Ebiox Trukleen (Trionic spray , concentrate and wipes) and already have the Ultra range in the US (instruments).

    They are looking for distributors in all ranges for North America . I would have thought that Sultan will be taking that on as they were already planning on new US contracts for Ebiox as they received state approvals .

    Since most of the products that Sultan and Dentsply had direct competition with are of different price points, does it make since to discontinue products like GENIE IMPRESSION MATERIAL? Does anyone have first hand (or any hand!)knowledge of the current Sultan lines being liquidated along with the employees? That would be a shame.

    We are distributors of Sultan in Asia. Should this deal hamper us in any way since Dentsply is currently being distributed by another Distributors.

    I need a genuine reply here if possible

    DENTSPLY is one stuffy company!! Very uptight! The folks at Schein are way more laid back by comparison!

    What do you mean by “stuffy company”? Can you elaborate?

    Conservative and always wearing business suits. A bit more formal in how they operate internally. No casual jean Fridays at DENTSPLY.

    Compare to 3M or even folks at Schein, DENTSPLY’s corporate culture seems much more territorial. They are certainly a great company, and they know how to get things done. They seem to be working hard to unify all of their divisions, but they are a very complex organization.

    I don’t know too much about Sultan. I do believe the previous management is still in place.
